Official Rules "Visa® Championship Series"
Pick-N-Win Fantasy Game

NO PURCHASE NECESSARY TO ENTER OR CLAIM A PRIZE. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. FANTASY GAME SPONSOR: This Game is sponsored and administered by USA Track & Field, Inc., 132 East Washington St., 8th Floor, Indianapolis, Indiana 46204 ("USATF"). Visa and its client financial institutions have not sponsored or offered this promotion in any way.

2. ELIGIBILITY: The "Visa® Championship Series" Pick-N-Win Fantasy Game ("Game") is open to all legal residents of the fifty (50) United States and the District of Columbia residents.. Employees of USA Track & Field, Inc. or Visa Inc., Visa U.S.A. Inc., Visa International Service Association, and their respective successors, affiliates, and client financial institutions, and employees of the foregoing Visa-related entities (collectively, Visa), and the employees of USATF’s and Visa’s respective parents, subsidiaries and affiliates, prize suppliers, and advertising and promotion agencies, and the immediate family members (spouse, and parents, children and siblings, and their respective spouses) and individuals living in the households of each of these employees, whether or not related, are not eligible to win a prize. This Game is void where prohibited or restricted by law, and is subject to all applicable federal, state, and local laws and regulations.

BY ENTERING THIS GAME YOU ARE AGREEING TO ALL THE TERMS OF THESE OFFICIAL RULES, INCLUDING ARBITRATION OF CLAIMS IN INDIANA. IF YOU DISAGREE WITH THE TERMS OF THESE RULES, DO NOT SUBMIT AN ONLINE ENTRY FOR THIS GAME. RECEIPT OF YOUR GAME ENTRY IS EVIDENCE OF YOUR ACCEPTANCE OF ALL THE TERMS OF THESE OFFICIAL GAME RULES.

3. HOW TO ENTER:

Weekly Prize: The Week One Game begins 12:00 PM Eastern Time ("ET") on January 21, 2011 and ends at 4:00 PM ET January 28, 2011 ("Weekly Prize Promotional Period"). During the Promotional Period, there is one (1) way to enter: 1) Each week, (a.) go to www.visachampionshipseries.com, (b.) click on “Play Pick-N-Win”, (c.) complete the official entry form in its entirety, (d.) select your "primary team," consisting of individual athletes you think will win in each professional event, thereby scoring points that will be collectively considered "team" points each week, (e.) select your “back-up team,” consisting of individual athletes you think will win in the event that the athlete in your primary team has no result (i.e. scratches or does not finish), and (f.) click "save picks." Primary team athletes will earn points for placing first (1st) through sixth (6th). Back-up team athletes will earn points for placing first (1^st) through (6^th) ONLY IF THE PRIMARY ATHLETE HAS NO RESULT. Online entries must be received by 4:00 PM ET, January 28, 2011 (Week One), 4:30  PM ET, February 5, 2011 (Week Two), 6:00 PM ET, and February 26, 2011  (Week Three) (Online Deadline") to be eligible for the applicable weekly Pick-N-Win Fantasy Game (see paragraph 4 regarding Drawings). Entries from prior weeks will not be valid for use in weekly drawings. Only eligible entries received by the Online Deadline that score the most team points, as determined by USATF ("Eligible Entries"), will be eligible for the applicable Pick-N-Win Fantasy Game drawing. Limit one (1) entry per person/email address/household for each weekly game. In the event that multiple Eligible Entries are received from one individual, email address or household, only the last Eligible Entry received and bearing the most recent date by the Online Deadline will be included in the applicable drawing.

Grand Prize: The Sweepstakes begins 12:00 PM Eastern Time ("ET") on January 21, 2011 and ends at 7:00 PM ET February 27, 2011 ("Grand Prize Promotional Period"). During the Promotional Period, there is one (1) way to enter: 1) Each week, (a.) go to www.visachampionshipseries.com, (b.) click on “Play Pick-N-Win”, (c.) complete the official entry form in its entirety, (d.) select your "primary team," consisting of individual athletes you think will win in each professional event, thereby scoring points that will be collectively considered "team" points each week, (e.) select your “back-up team,” consisting of individual athletes you think will win in the event that the athlete in your primary team has no result (i.e. scratches or does not finish), and (f.) click "save picks." Primary team athletes will earn points for placing first (1st) through sixth (6th). Back-up team athletes will earn points for placing first (1^st) through (6^th) ONLY IF THE PRIMARY ATHLETE HAS NO RESULT. Your primary team will earn points for each athlete who places among the top six (6) finishers in designated events – 10 points for first, 8 points for second, 6 points for third, 4 points for fourth, 2 points for fifth and 1 point for 6th. If your primary team athlete(s) has no result, then your back-up team athlete(s) will earn points for each athlete who places among the top six (6) finishers in designated events – 10 points for first, 8 points for second, 6 points for third, 4 points for fourth, 2 points for fifth and 1 point for 6th.  Online entries must be received by 4:00 PM ET, January 28, 2011 (Week One), 4:30  PM ET, February 5, 2011 (Week Two), 6:00 PM ET, and February 26, 2011  (Week Three) (Online Deadline") to be eligible for the applicable weekly Pick-N-Win Fantasy Game (see paragraph 4 regarding Drawings). Entries from prior weeks will be combined to generate a cumulative point total for each eligible person/team/email address/household to determine the Grand Prize winner. Limit one (1) entry per person/email address/household for the Grand Prize. In the event that multiple Eligible Entries are received from one individual email address, only the last Eligible Entry received and bearing the most recent date by the Online Deadline will be included in the applicable drawing. All entries become the property of USATF and will not be returned.

4. WEEKLY PRIZE WINNERS: Weekly Prize Winners will be selected on or about January 31, 2011 (Week One), February 7, 2011 (Week Two), and February 28, 2011 (Week Three) based on the top three scores achieved during the appropriate week from among all Eligible Entries received by the Online Deadline. In the event of a tie, the winner will be determined according to the “tiebreaker” rules listed below. Three (3) Weekly Prize winners (as defined in paragraph 6 below) from Week One, Week Two and Week Three of the Pick-N-Win game will be selected. Limit one (1) prize per person or household. Eligible Entries from one weekly drawing will not roll-over into the next weekly drawing.

GRAND PRIZE WINNER: One Grand Prize Winner will be selected on or about February 28, 2011 (or Week Three) under the supervision of USATF from among all Eligible Entries received by the Online Deadline. Limit one (1) prize per person or household.

TIEBREAKER: In the event of a tie, the tie will be broken, for the purpose of determining a sweepstakes prize winner, using the following methodology:

·         The team with the most "first place" finishes for that event will be declared that week's winner

·         If a tie still exists after determining the number of “first place” finishers, the tied team with the most "second place" finishes will be declared that week's winner

·         If a tie still exists after consideration of the foregoing criteria, the tied team with the most "third place" finishes will be declared that week's winner

·         This process will continue until a weekly winner is determined, or if it is impossible for the tie to be broken, the remaining teams will go into a random drawing to select that week's winner.

5. ODDS: The actual odds of winning a Grand Prize or a Weekly Prize will depend upon the total number of Eligible Entries received for the applicable weekly Pick-N-Win game and/or the overall Pick-N-Win Visa Championship Series Game.

6. SWEEPSTAKES PRIZES:

There will be Nine (9) Weekly Prizes: In addition to the One (1) Grand Prize and seven (7) Participatory Prizes of one (1) $20 Visa Gift, nine (9) Weekly Prizes including three (3) first place prizes of a $100 Visa Gift Card and a Nike spike bag containing a Nike/USATF spike bag, t-shirt and cap, (3) second place prizes of a $50 Visa Gift Card and (3) three third place prizes of a $25 Visa Gift Card will be awarded by USA Track & Field, Inc. Approximate Retail Value ("ARV") of Weekly Prizes: up to $175.00 each. Approximate retail Value (“ARV”) of Participatory Prizes: $20 each. Weekly Prizes and Participatory Prizes will be awarded "as is" with no warranty or guarantee, either express or implied by USATF. No substitutions, cash equivalents, or transfers of prizes will be permitted except at the sole discretion of the USATF, who reserve the right to substitute a prize (or portion thereof) with one of comparable or greater value, at their sole discretion.

One (1) Grand Prize: One (1) Grand Prize winner will be awarded a $1,500 Visa Gift Card and a Nike spike bag, including but not limited to, a Nike/USATF spike bag, jacket, t-shirt and cap. Approximate Retail Value ("ARV"): $2,100.

One (1) Second Place Prize: One (1) Second Place Prize winner will be awarded a $250.00 Visa Gift Card and a Nike spike bag, including but not limited to, a Nike/USATF spike bag, jacket, t-shirt and cap. Approximate Retail Value ("ARV"): $150.

One (1) Third Place Prize: One (1) Third Place Prize winner will be awarded a $100.00 Visa Gift Card and a Nike spike bag, including but not limited to, a Nike/USATF spike bag, jacket, t-shirt and cap. Approximate Retail Value ("ARV"): $200.

Seven (7) Participatory Prizes: Seven (7) Participatory Prize winners finishing 4^th-10^th (tie-breaker rules apply) will be awarded a $20 Visa Gift Card. Approximate Retail Value (for all Visa Gift Cards): $140.

7. WINNERS NOTIFICATION: The Grand Prize winner will be notified by email and by priority mail with delivery confirmation and will be required to complete and sign an Affidavit of Eligibility and Liability Release, where legal, a Publicity Release, and IRS Form W-9, all of which must be returned within 14 days from prize notification date or the prize will be forfeited and, at USATF' discretion, awarded to an alternate winner. Weekly Prize winners will receive their prizes via priority mail or UPS delivery 6-8 weeks following verification of eligibility and compliance with the terms of these rules. In the event of noncompliance with these rules or if the prize is unclaimed or the prize notification is returned as undeliverable, the prize will be forfeited and, at USATF' discretion, awarded to an alternate winner. If the prize is won by an eligible individual who is not of the legal age of majority in the state of residence ("minor"), the required documents must be confirmed and signed by winner's parent or legal guardian, and the prize will be awarded in the name of his/her parent or legal guardian who will be required to fulfill all requirements imposed on the winners set forth herein. By entering the Sweepstakes, entrants agree to the use by USATF and their designees of their names, cities and states of residence and photographs/likenesses for advertising and promotional purposes for this and similar promotions, worldwide, and in perpetuity, in any and all forms of media, now known or hereafter devised (including and without limitation, the Internet) without additional compensation, notification or permission, except where prohibited by law.

8. LIMITATION OF LIABILITY: By participating in the Pick-N-Win Game, each entrant (or, if minors, their parents or legal guardians) agrees to release, indemnify and hold harmless USATF and Visa, and each of their respective parent companies, subsidiaries, affiliates, prize suppliers, and advertising and promotion agencies (collectively, "the Released Parties") from and against any injuries, losses, damages, claims, actions and any liability of any kind resulting from or arising from participation in the Sweepstakes or acceptance, possession, use, misuse or nonuse of the prize (including any travel or travel-related activity) that may be awarded. Each entrant (or, if minors, their parents or legal guardians) agrees that the laws of the state of Indiana will govern any and all disputes involving the Released Parties. Any disputes involving the Released Parties shall be resolved by arbitration before a single arbitrator, in the state of Indiana or another state selected by USATF, pursuant to the Commercial Rules of the American Arbitration Association then in force. Judgment upon any arbitration award may be entered in any court of competent jurisdiction. The Released Parties are not responsible for computer, technical, printing, typographical, human or other errors relating to or in connection with this Game, including, without limitation, errors which may occur in connection with the administration of the Game, the announcement of the prizes, the processing of entries or any Game related materials; or for lost, stolen, late, inaccurate, delayed, undelivered, misdirected, damaged, incomplete, garbled entries or entries that fail to enter into the processing system, or are processed, reported, or transmitted late or incorrectly or are lost for any reason including computer, telephone, human or other error; or for electronic, computer, or telephonic malfunction or error, including any injury or damage to entrant's or any other person's computer relating to or resulting from participation in this Game or from downloading or attempting to download any materials in this Game, or inability to access any web site associated with this Game, or any combination thereof. In the event of a dispute as to entries submitted by multiple users having the same email account, the authorized subscriber of the email account used to enter the Game at the actual time of registration will be deemed to be the entrant and must comply with these rules. Authorized account subscriber is deemed to be the natural person who is assigned an email address by an Internet access provider, on-line service provider or other organization responsible for assigning email addresses for the domain associated with the submitted email address. A potential winner may be required, at USATF’s discretion, to provide USATF with proof that the potential winner is the authorized account subscriber of the e-mail address associated with the potentially winning entry. USATF reserve the right at its sole discretion to disqualify any individual who tampers with, or is suspected of tampering with, the entry process or any aspect of the Game, to void any entries based on USATF’s reasonable suspicion of fraud, to modify or suspend the Game, or to terminate the Game. Any attempts by an individual to access any web site associated with this Game via robotic, automatic entry devices, programs such as, but not limited to, script, macro or any other automated means, or other unauthorized entry will void all such entries by such methods. Any attempt by an entrant or any other individual to deliberately damage any web site or undermine the legitimate operation of the Game is a violation of criminal and civil laws and should such an attempt be made, USATF reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law and to pursue criminal charges. Due to athlete late-entries, scratches, and changes to the start lists, athlete entries available for Pick-N-Win players’ selection are subject to change and may not always reflect the final start list. USATF will use its commercially reasonable efforts to supply the most accurate start lists and indicate changes on the “News Page,” however, due to athlete scratches and circumstances beyond USATF’s control, it is not guaranteed that the game start lists will exactly depict the final start lists for each event. As a condition of entering the Game, entrant (or, if minors, their parents or legal guardians) agrees that:  (a) under no circumstances will entrant be permitted to seek or obtain a judgment or award of, and entrant hereby waives all rights to claim, punitive, incidental, consequential or any other damages; (b) all causes of action arising out of or connected with this Game, or any prizes awarded, shall be resolved individually in accordance with the arbitration procedures of this agreement, without resort to any form of class action; and (c) no claims, judgments or awards shall include attorneys fees. USATF reserve the right to modify the prize award procedures.

9. WINNERS LIST: For the names of the winners (available after March 7, 2011), mail a self-addressed, stamped envelope to: "Pick-N-Win" Online Game Winners (Outdoor Season), 132 East Washington St, 8th Floor, Indianapolis, Indiana 46204, or access the USATF web site at www.visachampionshipseries.com to view the Winners' list. Written Requests must be postmarked no later than March 31, 2011 and received no later than April 30, 2011, or visit USATF website by 11:59:59 PM on April 30, 2011. No requests for the winners list will be honored after April 30, 2011.
