Official Rules "Visa® Championship Series"
Pick-N-Win Fantasy Game

NO PURCHASE OR OBLIGATION NECESSARY TO ENTER OR CLAIM A PRIZE. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. FANTASY GAME SPONSOR: This Game is sponsored and administered by USA Track & Field, Inc., 132 East Washington St., 8th Floor, Indianapolis, Indiana 46204 ("USATF"). Visa U.S.A, Inc. and its member financial institutions have not sponsored or offered this promotion in any way.

2. ELIGIBILITY: The "Visa® Championship Series" Pick-N-Win Fantasy Game ("Game") is open to all legal residents of the fifty (50) United States and the District of Columbia. Must be eighteen (18) years of age or older as of January 1, 2008 to win. Employees of USA Track & Field, Inc., Visa U.S.A. Inc., its successors and assigns, and Visa International Service Association, its successors and assigns, their respective Member financial institutions, and employees of same, and each of the respective parents, subsidiaries and affiliates, prize suppliers, and advertising and promotion agencies of Sponsors and Prize Providers, and the immediate families (spouse, and parents, children and siblings, and their respective spouses) and individuals living in the households of each of these individuals, whether or not related, are not eligible to win a prize. This Game is void where prohibited or restricted by law, and is subject to all applicable federal, state, and local laws and regulations.

BY ENTERING THIS GAME YOU ARE AGREEING TO ALL THE TERMS OF THESE OFFICIAL RULES, INCLUDING ARBITRATION OF CLAIMS AGAINST USA TRACK & FIELD, IN INDIANA. IF YOU DISAGREE WITH THE TERMS OF THESE RULES, DO NOT SUBMIT AN ONLINE ENTRY FOR THIS GAME. RECEIPT OF YOUR GAME ENTRY IS EVIDENCE OF YOUR ACCEPTANCE OF ALL THE TERMS OF THESE OFFICIAL GAME RULES.

3. HOW TO ENTER:

Weekly Prize: The Week One Game begins 12:00AM Eastern Time ("ET") on May 9, 2008 and ends at 1:55:59 PM ET May 18, 2008 ("Weekly Prize Promotional Period"). During the Promotional Period, there is one (1) way to enter: 1) Each week, go to www.visachampionshipseries.com, complete the official entry form in its entirety, select the "team," consisting of an individual athlete in each professional event, who you think will win, thereby scoring points which will be collectively considered "team" points each week and click "submit," athletes will earn points for placing first (1st) through sixth (6th). Online entries must be received by 1:55:59 PM ET, May 18, 2008 (Week One), 7:55:59 PM ET, May 31, 2008 (Week Two) and 3:55:59 PM ET, June 8, 2008 (Week Three) ("Online Deadline") to be eligible for the applicable weekly Pick-N-Win Fantasy Game (see paragraph 4 regarding Drawings). Entries from prior weeks will not be valid for use in future weekly drawings. Only eligible entries received by the Online Deadline which score the most team points, as determined by Sponsors ("Eligible Entries"), will be eligible for the applicable Pick-N-Win Fantasy Game drawing. Limit one (1) entry per person/email address/household for each weekly game. In the event that multiple Eligible Entries are received from one individual, email address or household, only the last Eligible Entry received and bearing the most recent date by the Online Deadline will be included in the applicable drawing.

Grand Prize: The Sweepstakes begins 12:00 AM Eastern Time ("ET") on May 9, 2008 and ends at 3:55:59 PM ET June 27, 2008 ("Grand Prize Promotional Period"). During the Promotional Period, there is one (1) way to enter: 1) Go to www.visachampionshipseries.com, complete the official registration form in its entirety, select the "team," consisting of an individual athlete in each professional event, who you think will win, thereby scoring points which will be collectively considered "team" points each week and click "submit," athletes will earn points for placing first (1st) through sixth (6th) – 10 points for first, 8 points for second, 6 points for third, 4 points for fourth, 2 points for fifth and 1 point for 6th. Online entries must be received by 1:55:59 PM ET, May 18, 2008 (Week One), 7:55:59 PM ET, May 31, 2008 (Week 2) and 3:55:59 PM ET, June 8, 2008 (Week 3) ("Online Deadline") to be eligible for the applicable weekly Pick-N-Win Fantasy Game (see paragraph 4 regarding Drawings). Entries from prior weeks will be combined to generate a cumulative point total for each eligible person/team/email address/household to determine the Grand Prize winner. Limit one (1) entry per person/email address/household for the Grand Prize. In the event that multiple Eligible Entries are received from one individual, email address, only the last Eligible Entry received and bearing the most recent date by the Online Deadline will be included in the applicable drawing. All entries become the property of Sponsors and will not be returned. Limit one (1) "cumulative entry per person/email address/household for the Grand Prize. In the event that multiple Eligible Entries are received from one individual, email address or household, only the last Eligible Entry received and bearing the most recent date by the Online Deadline will be included.

4. WEEKLY PRIZE WINNERS: Potential Weekly Prize Winners will be selected on or about May 26, 2008 (Week One), June 9, 2008 (Week Two), and June 16, 2008 (Week Three) in a random drawing under the supervision of USATF from among all Eligible Entries received by the Online Deadline for each Pick-N-Win weekly game. One (1) potential Weekly Prize winner (as defined in paragraph 6 below) from each Pick-N-Win game will be selected each of the three weeks listed above. Limit one (1) prize per person or household. Eligible Entries from one weekly drawing will not roll-over into the next weekly drawing.

GRAND PRIZE WINNER: Potential Grand Prize Winner will be announced/selected on or about July 18, 2008 under the supervision of USATF from among all Eligible Entries received by the Online Deadline. One (1) potential Grand Prize winner (as defined in paragraph 6 below) will be selected. Limit one (1) prize per person or household.

TIEBREAKER: In the event of a tie, the tie will be broken, for the purpose of determining a sweepstakes prize winner, using the following methodology:

• The team with the most "first place" finishes for that event will be declared that week's winner
• If a tie still exists, the tied team with the most "second place" finishes will be declared that week's winner
• If a tie still exists, the tied team with the most "third place" finishes will be declared that week's winner
• This process will continue until a weekly winner is determined

5. ODDS: The actual odds of winning a Grand Prize or a Weekly Prize will depend upon the total number of Eligible Entries received for the applicable weekly Pick-N-Win game and/or the overall Pick-N-Win Visa Championship Series Game.

6. SWEEPSTAKES PRIZES:

There will be Three (3) Weekly Prizes: In addition to the One (1) Grand Prize awarded, three (3) Weekly Prizes of a Nike gift bag containing a Nike/USATF spike bag, jacket, t-shirt and cap will be awarded by USA Track & Field, Inc. Approximate Retail Value ("ARV"): $300.00 each. Weekly Prize winners will be determined by the top score achieved during the appropriate week from among all Eligible Entries received by the Online Deadline. Weekly Prizes will be awarded "as is" with no warranty or guarantee, either express or implied by Sponsors. No substitutions, cash equivalents, or transfers of prizes will be permitted except at the sole discretion of the Sponsors, who reserve the right to substitute a prize (or portion thereof) with one of comparable or greater value, at their sole discretion.

One (1) Grand Prize: One (1) Grand Prize winner will be awarded a $2,000 Visa Gift Card and a Nike gift bag, including but not limited to, a Nike/USATF duffel bag, jacket, t-shirt and cap. Approximate Retail Value ("ARV"): $2,300.

One (1) Second Place Prize: One (1) Second Place Prize winner will be awarded a $250.00 Visa Gift Card and a Nike gift bag, including but not limited to, a Nike/USATF duffel bag, jacket, t-shirt and cap. Approximate Retail Value ("ARV"): $550.

One (1) Third Place Prize: One (1) Third Place Prize winner will be awarded a $100.00 Visa Gift Card and a Nike gift bag, including but not limited to, a Nike/USATF duffel bag, jacket, t-shirt and cap. Approximate Retail Value ("ARV"): $400.

7. WINNERS NOTIFICATION: The potential Grand Prize winner will be notified by priority mail with delivery confirmation and will be required to complete and sign an Affidavit of Eligibility and Liability Release, where legal, a Publicity Release, and IRS Form W-9, all of which must be returned within 14 days from prize notification date or the prize will be forfeited and, at Sponsors' discretion, awarded to an alternate winner. Weekly Prize winners will receive their prizes via priority mail or DHL delivery 6-8 weeks following verification of eligibility and compliance with the terms of these rules. In the event of noncompliance with these rules or if the prize or prize notification is unclaimed or returned as undeliverable, the prize will be forfeited and, at Sponsors' discretion, awarded to an alternate winner. If the prize is won by an eligible individual who is not of the legal age of majority in the state of residence ("minor"), the required documents must be confirmed and signed by winner's parent or legal guardian, and the prize will be awarded in the name of his/her parent or legal guardian who will be required to fulfill all requirements imposed on the winners set forth herein. By entering the Sweepstakes entrants agree to the use by Sponsors and their designees of their names, cities and states of residence and photographs/likenesses for advertising and promotional purposes for this and similar promotions, worldwide, and in perpetuity, in any and all forms of media, now known or hereafter devised (including and without limitation, the Internet) without additional compensation, notification or permission, except where prohibited by law. Upon request, winner agrees to consent to such in writing.

8. LIMITATION OF LIABILITY: By participating in the Pick-N-Win Game, entrants (or, if minors, their parents or legal guardians) agree to release, indemnify and hold harmless USA Track & Field, Inc., Visa U.S.A. Inc., its successors and assigns, and Visa International Service Association, its successors and assigns, and their respective Member financial institutions, and each of their respective parent companies, subsidiaries, affiliates, prize suppliers, and advertising and promotion agencies of Visa U.S.A. Inc., its successors and assigns, and Visa International Service Association, its successors and (collectively, "Releasees") from and against any injuries, losses, damages, claims, actions and any liability of any kind resulting from or arising from participation in the Sweepstakes or acceptance, possession, use, misuse or nonuse of the prize (including any travel or travel-related activity thereto) that may be awarded. Entrants (or, if minors, their parents or legal guardians) agree that the laws of the state of Indiana will govern any and all disputes involving USATF. Any disputes involving USATF shall be resolved by arbitration, in the state of Indiana, pursuant to the Commercial Rules of the American Arbitration Association then in force. Judgment upon any arbitration award may be entered in any court of competent jurisdiction. Entrants (or, if minors, their parents or legal guardians) also agree that the laws of the state of California will govern any and all disputes regarding Visa U.S.A. Inc., its successors and assigns, and Visa International Service Association, its successors and assigns. Releasees are not responsible for computer, technical, printing, typographical, human or other errors relating to or in connection with this Game, including, without limitation, errors which may occur in connection with the administration of the Game, the announcement of the prizes, the processing of entries or in any Game related materials; or for lost, stolen, late, inaccurate, delayed, undelivered, misdirected, damaged, incomplete, garbled or entries that fail to enter into the processing system, or are processed, reported, or transmitted late or incorrectly or are lost for any reason including computer, telephone, human or other error; or for electronic, computer, or telephonic malfunction or error, including any injury or damage to participant's or any other person's computer relating to or resulting from participation in this Game or downloading any materials in this Game, or inability to access any web site associated with this Game, or any combination thereof. In the event of a dispute as to entries submitted by multiple users having the same email account, the authorized subscriber of the email account used to enter the Game at the actual time of registration will be deemed to be the entrant and must comply with these rules. Authorized account subscriber is deemed to be the natural person who is assigned an email address by an Internet access provider, on-line service provider or other organization, which is responsible for assigning email addresses for the domain associated with the submitted email address. A potential winner may be required to provide the Sponsors with proof that the potential winner is the authorized account subscriber of the e-mail address associated with the potentially winning entry. If in Sponsors' opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Game, or if computer virus, bugs, unauthorized intervention, fraud, or technical difficulties or failures compromise or corrupt or affect the administration, integrity, security, fairness, or proper conduct of the Game, Sponsors reserve the right at their sole discretion to disqualify any individual who tampers with, or is suspected of tampering with the entry process and/or void any entries submitted fraudulently, to modify or suspend the Game, or to terminate the Game and conduct a random drawing to award the prizes using all non-suspect Eligible Entries received as of the Online Deadline, unless terminated prior to Online Deadline in which case Sponsor reserves the right to conduct a random drawing to award the prizes using all non-suspect Eligible Entries received up to such earlier termination date. Any attempts by an individual to access any web site associated with this Game via robotic, automatic entry devices, programs such as, but not limited to, by script, macro or any other automated means, or other unauthorized entry will void all such entries by such methods. Any attempt by an entrant or any other individual to deliberately damage any web site or undermine the legitimate operation of the Game is a violation of criminal and civil laws and should such an attempt be made, Sponsors reserve the right to seek damages and other remedies from any such person to the fullest extent permitted by law. As a condition of entering the Game, participant (or, if minors, their parents or legal guardians) agree that: a.) under no circumstances will participants be permitted to obtain a judgment or award of, and participant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; b.) all causes of action arising out of or connected with this Game, or any prizes awarded, shall be resolved individually, without resort to any form of class action; and c.) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys fees. Sponsors reserve the right to modify the prize award procedures.

9. WINNERS LIST: For the names of the winners (available after July 21, 2008), mail a self-addressed, stamped envelope to: "Pick-N-Win" Online Game Winners (Indoor Season), 132 East Washington St, 8th Floor, Indianapolis, Indiana 46204, or access the USATF web site at www.visachampionshipseries.com to view the Winners' list. Requests must be postmarked no later than July 21, 2008 and received no later than July 25, 2008, or visit USATF website by 11:59:59 PM on July 25, 2008. No requests for the winners list will be honored after July 25, 2008.
